1. Acceptance of Terms
By creating an account or using the Axiomly platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use Axiomly.
These terms constitute a binding legal agreement between you (and your organization, if applicable) and Axiomly.
2. Service Description
Axiomly provides an AI governance platform that includes:
- AI Governance Registry - Centralized approval management for AI tools, libraries, and MCP servers
- Approval Workflows - Request, review, and approve AI capabilities
- Audit Logging - Comprehensive activity tracking and compliance reporting
- API and IDE Integrations - Programmatic access and AI-powered IDE plugins
3. Account Responsibilities
You are responsible for:
- Accurate Information - Providing truthful and current account information
- Credential Protection - Safeguarding your passwords and API keys
- Authorized Use - Ensuring all users comply with your organization's policies
- Notification - Promptly reporting any unauthorized access or security breaches
4. Acceptable Use
You agree NOT to:
- Abuse, bypass, or tamper with Axiomly's governance enforcement mechanisms
- Attempt unauthorized access to other tenants' data or systems
- Reverse engineer, decompile, or disassemble the Axiomly platform
- Use Axiomly for any illegal or harmful purposes
- Overload or disrupt Axiomly's infrastructure
- Share API keys or credentials with unauthorized parties
Violation of acceptable use policies may result in immediate account suspension or termination.
5. Tenant Responsibility Model
Axiomly operates on a tenant-authoritative governance model:
5.1 Your Governance Authority
- You Define Governance — Your organization determines which AI capabilities, models, connectors, and workflows are approved.
- Axiomly Enforces — Axiomly enforces the governance rules you configure within the Axiomly platform and approved execution paths.
- You Control the Environment — You retain full control over your tenant environment, including user access, administrative privileges, integrations, and the ability to modify, disable, or remove governance components.
- You Own Decisions and Outcomes — You retain full ownership and responsibility for all governance decisions, configurations, and their outcomes.
5.2 Important Notice on Circumvention and Control Removal
Axiomly cannot prevent intentional circumvention, misconfiguration, or removal of governance controls by tenant administrators, developers, or users with sufficient privileges. Governance effectiveness depends on:
- Proper deployment and retention of Axiomly governance components
- Restriction of administrative access and privilege escalation
- Adherence to organizational policies and change management practices
5.3 Limitations of Responsibility
Axiomly is not responsible for governance failures resulting from:
- Deliberate bypass or disabling of controls
- Unauthorized modification or removal of governance components
- Use of AI capabilities outside approved or monitored execution paths
- Actions taken outside the Axiomly platform or enforcement boundary
5.4 Compliance Disclaimer
Axiomly does not provide legal, regulatory, or compliance guarantees. Customers are responsible for ensuring their governance configurations align with applicable laws, regulations, and organizational policies.
6. Intellectual Property
6.1 Your Content
You retain all ownership rights to:
- Your source code and intellectual property
- Your governance policies and approval decisions
- Your organizational data
6.2 Axiomly Platform
Axiomly retains all ownership rights to:
- The Axiomly platform, software, and services
- Axiomly trademarks, logos, and branding
- Platform documentation and materials
6.3 No Claim Over Customer Data
Axiomly makes no claim to your source code, AI prompts, or proprietary data. We never access or store this information.
7. Availability and Service Level
Axiomly strives to provide reliable service, but:
- No guaranteed uptime is provided unless specified in a separate Service Level Agreement (SLA)
- Scheduled maintenance windows may occur with advance notice
- Emergency maintenance may occur without notice
- Service interruptions may occur due to factors beyond our control
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Axiomly is provided "AS IS" without warranties of any kind
- Axiomly is not liable for indirect, incidental, or consequential damages
- Axiomly is not responsible for decisions made based on tenant-defined governance policies
- Total liability is limited to the amount paid by you in the 12 months preceding the claim
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
9. Payment and Billing
- Subscription fees are billed according to your selected plan
- Payment processing is handled securely by Stripe
- Fees are non-refundable except as required by law
- Failure to pay may result in service suspension or termination
- Price changes will be communicated with 30 days' notice
10. Termination
10.1 Termination by You
You may terminate your account at any time through the platform settings or by contacting support.
10.2 Termination by Axiomly
We may suspend or terminate your account for:
- Violation of these Terms of Service
- Non-payment of fees
- Fraudulent or illegal activity
- Abuse of the platform
10.3 Data Upon Termination
Upon termination:
- You may export your data within 30 days
- Your data will be deleted after 30 days, except where legally required to retain
- Audit logs may be retained per compliance requirements
11. Modifications to Terms
Axiomly may modify these Terms of Service at any time. Material changes will be communicated via email or platform notification. Continued use after changes constitutes acceptance of the modified terms.
12. Governing Law
These terms are governed by the laws of the jurisdiction in which Axiomly operates, without regard to conflict of law principles.
